1. Engineering Engagements

Proposals and development estimates supplied by ContentFlow AI represent initial estimates and do not form a binding contract until a Master Services Agreement (MSA) is signed by both authorized parties.

2. Code & Property Ownership

All custom source code, asset files, and database schemas created for clients remain the intellectual property of ContentFlow AI until all final project invoices are settled in full, upon which absolute ownership transfers to the client.

3. Service Limitation & Warranty

We write software to high engineering standards. However, we do not warrant that third-party APIs (OpenAI, AWS, Apple Store) will remain functional, open, or uninterrupted. ContentFlow AI is not liable for business revenue losses due to third-party downtime.

4. Invoicing and Payments

Project invoicing schedules are structured around milestone deliverables (Discovery, Prototyping, Code Complete, Deploy). Unpaid invoices after 30 calendar days may result in system suspension or hosting pause.

5. Amendments

We reserve the right to edit these Terms at any time. Changes will be posted directly to this URL and are active immediately upon publish.
